therefore, be liable for any direct or indirect loss caused as a result of you

Waiver.
These Terms of Use constitute the entire agreement between you and Company
regarding the use of the Site and/or the Service, superseding any prior
agreements between you and Company relating to your use of the Site or the
Service. The failure of Company to exercise or enforce any right or provision of
these Terms of Use shall not constitute a waiver of such right or provision in
that or any other instance. If any provision of this Agreement is held invalid,
the remainder of this Agreement shall continue in full force and effect. If any

unenforceable, then that provision shall be deemed severable from these Terms of
Use and shall not affect the validity and enforceability of any remaining
provisions.
Order Acceptance
Please note that there may be certain orders that we are unable to accept and
must cancel. We reserve the right, at our sole discretion, to refuse or cancel
any order for any reason. Payments may be made through the method specified on
our payment options section prior to concluding the transaction. We take all
reasonable precautions to keep the details of your order and payments secure.
Unless we are negligent, we can not be held liable for any losses caused as a
result of unauthorized access to the information provided by you. Some
situations that may result in your order being canceled include limitations on
quantities available for purchase, inaccuracies or errors in product or pricing
information, or problems identified by our credit and fraud avoidance
department. We may also require additional verifications or information before
accepting any order. We will contact you if all or any portion of your order is
canceled or if additional information is required to accept your order. If your
order is canceled after your account has been debited, we will issue a credit to
your account in the amount of the charge.
Pricing, Content Information and
Delivery.
While Megaplazamall.com strives to provide accurate pricing information, pricing
or typographical errors may occur. Megaplazamall.com cannot confirm the price of
an item until after you order. In the event that an item is listed at an
incorrect price due to an error in pricing, Megaplazamall.com shall have the
right, at our sole discretion, to refuse or cancel any orders placed for that
item. In the event that an item is mispriced, Megaplazamall.com may, at our
discretion, either contact you for instructions or cancel your order and notify
you of such cancellation. We will give you the option of recommencing your order
at the correct price or canceling it. If you do not respond to our contact, we
will treat the order as cancelled. If you cancel and we have already processed
your payment, you will receive a full refund.
We do our best to provide you with the lowest prices possible on
Megaplazamall.com as well as in our stores. However, sometimes a price online
does not match the price in a store. In our effort to be the lowest price
provider, store pricing will sometimes differ from online prices.
Megaplazamall.com does not price match with any other online or offline
retailer. We strive to maintain highly competitive prices and review them
regularly in order to serve you with great values, every day.
All prices listed on this Website are subject to confirmation. Megaplazamall.com
will notify you by email within hours of making a purchase if the confirmed
price of an item you have selected differs from the price listed on the website
or on your purchase order. If you do not receive an email within 48 hours of
completing a purchase order, Megaplazamall.com is deemed to have confirmed the
purchase at the price listed on the website. If you receive such notification,
the sale will be automatically terminated unless you reply by email with
confirmation of your intention to purchase the item at the confirmed price.
Megaplazamall.com reserves the right, at our sole discretion, to limit the
quantity of items purchased per person, per household or per order. These
restrictions may be applicable to orders placed by the same account, the same
credit/debit card, and also to orders that use the same billing and/or shipping
address. We will provide notification to the customer should such limits be
applied. Megaplazamall.com also reserves the right, at our sole discretion, to
prohibit sales to dealers or resellers. For purposes of these Terms of Use,
reselling shall be defined as purchasing or intending to purchase any product(s)
from Megaplazamall.com for the purpose of engaging in a commercial sale of that
same product(s) with a third party.
While Megaplazamall.com allows you to purchase and reserve an item or items, the
maximum period of time that Megaplazamall.com will hold the item for you will be
one (1) month, after which you will be notified via email of Megaplazamall.com
intentions to dispose of the item.
Receipt of your order (or our confirmation of your order) does not require us to
supply the product to you. We must receive payment for the product or item. Your
order for products must be accompanied by payment of the specified purchase
price and delivery costs (using one of the prescribed payment methods) by
available credit or otherwise in immediately available funds.
Where you have purchased products which require physical delivery, we will
usually be able to make delivery within 72 hours, i.e. 3 working days of the
purchase date. Bulk orders or deliveries to some locations may take longer than
this. Legal opening hours for business is between 10am to 10pm. Goods
bought after closing hours via online sales will be deemed to have been bought
the next day, so that delivery of such goods will take the same order as above
after payment is effected. Note that delivery of goods would normally be
done by us after payment is effected. You reserve the right to employ the
services of an external delivery van, but any losses incurred during the course
of delivery will be borne by you.
Where it was agreed that we deliver the item, delivery will be said to have
taken place when the customer accepts and signs our return form which will be
presented to you by our delivery team. On the Other hand, where the item is self
collected or where the customer makes her/his own private delivery arrangement,
then delivery in this case takes place when the customer pays and signs her
invoice of purchase and the item is handed over to her/him.
Please note that once your order is accepted and paid for, you do not reserve
the right to unilaterally call off the purchase without prior notice within a
reasonable time before delivery is done. Under this circumstance, the
amount paid will not be refunded unless you are willing to pay for the cost of
delivery as will be charged, depending on your destination, which amount will be
deducted directly from the amount paid into the company’s account for the
purchased item (s).
Calculation of Discount.
Where an online offer states that a percentage discount will be given on a
purchase, the cost of the qualifying purchases will be reduced by the stated
discount percentage. Where purchases are stated to be offered on a “VAT-free”
basis the prices of qualifying items will be reduced by the equivalent of VAT,
at the current VAT rate of 5%. Supplementary charges such as delivery or postage
and packing shall not be discounted unless specifically stated in the offer
description.
Events Beyond Our Reasonable Control
We will not be held responsible for any delay or failure to comply with our
obligations under these conditions: if the delay or failure arise from any cause
which is beyond our reasonable control, including reasons for Force Majeure
which shall include any default due to an act of God, war, or threatened war,
act of terrorism or threatened act of terrorism, strike, lockout, individual
action, fire, flood, drought, tempest or other event beyond the
control of either party.
Returns and Refunds (Goods Only)
Take note that perishable goods are not returnable. Goods that are not
perishable are returnable only in the event that they were originally purchased
in bad order. Should this be the case, you are mandated to communicate and
return the good (s) within 24 hours of purchase.
Product Installation
In the case of a product that requires installation, such installation must be
done by our technicians. You are advised to purchase a stabilizer/voltage
regulator from us to enhance the use of the product.
We will not be liable for damages caused by power surge, where you did not make
use of a stabilizer/voltage regulator purchased from us.
Arbitration
YOU AND COMPANY AGREE THAT THE SOLE AND EXCLUSIVE FORUM AND REMEDY FOR ANY AND
ALL DISPUTES AND CLAIMS RELATING IN ANY WAY TO OR ARISING OUT OF THESE TERMS OF
SALE (INCLUDING THE TERMS OF USE) OR THE SALE OF THE PRODUCTS OR SERVICES SHALL
BE FINAL AND BINDING ARBITRATION, except that, to the extent that either of us
has in any manner infringed upon or violated or threatened to infringe upon or
violate the other party's patent, copyright, trademark or trade secret rights,
such other party may seek injunctive or other appropriate relief.
For any claim, the party requesting relief may elect to resolve the dispute in a
cost effective manner through binding non-appearance-based arbitration. In the
event a party elects arbitration, they shall initiate such arbitration through
an established alternative dispute resolution ("ADR") provider mutually agreed
upon by the parties. The ADR provider and the parties must comply with the
following rules: a) the arbitration shall be conducted by telephone, online
and/or be solely based on written submissions, the specific manner shall be
chosen by the party initiating the arbitration; b) the arbitration shall not
involve any personal appearance by the parties or witnesses unless otherwise
mutually agreed by the parties; and c) any judgment on the award rendered by the
arbitrator may be entered in any court of competent jurisdiction.
To the fullest extent permitted by applicable law, NO ARBITRATION OR CLAIM UNDER
THESE TERMS OF SALE SHALL BE JOINED TO ANY OTHER ARBITRATION OR CLAIM, INCLUDING
ANY ARBITRATION OR CLAIM INVOLVING ANY OTHER CURRENT OR FORMER USER OF THE
SERVICE, AND NO CLASS ARBITRATION PROCEEDINGS SHALL BE PERMITTED. In no event
shall any claim, action or proceeding by you related in any way to any products
or services be instituted more than three (3) years after the cause of action
arose.
Limitation of Liability/Indemnity
At all times our acceptance of an order takes place on dispatch of the order, at
which point the purchase contract will be deemed to have been made and you will
be charged for your order. Under no circumstances, including but not limited to
negligence shall Megaplazamall.com, its subsidiary or affiliate be liable for
any direct, indirect, special or consequential damages that may result from the
use of, or the inability to use this site. If you are dissatisfied with these
Terms and conditions, your only remedy is to discontinue using the site. All
offers are subject to availability and while stocks last.
You agree to indemnify and hold the Company, its subsidiaries and affiliates,
and each of their directors, officers, agents, contractors, partners and
employees, harmless from and against any loss, liability, claim, demand,
damages, costs and expenses, including reasonable attorney's fees, arising out
of or in connection with your purchase or use of any product or services, or any
violation of this Agreement or of any law or the rights of any third party.
Disclaimer

warranties of any kind whether expressed or implied. To the fullest extent
permissible pursuant under applicable law, Megaplazamall.com disclaims all
warranties, express or implied. We do not warrant that the functions contained
on our site will be uninterrupted, or error free. We do not warrant that the
defects will be corrected or that the site or the server that makes it available
